1. Scope & Operator

These General Terms and Conditions of Sale ("Terms") govern every purchase of DaVinci Deluxe · Cloud Edition software licenses, subscriptions, tokens, credits and digital goods made through this website (davincideluxe.fr and its country domains). By ordering, subscribing or activating our software you accept these Terms in full.

DaVinci Deluxe · Cloud Edition is a brand operated by TechLT (techlt.net, [email protected]). All customer support is provided at [email protected].

Independent brand — no affiliation with aesoftech.com. DaVinci Deluxe · Cloud Edition is an independent product with no affiliation, connection or partnership with "aesoftech.com", "AE Softtech", or any other company selling a product called "DaVinci Deluxe". Their software, interface, branding and logo are entirely different from ours. If you paid another company, that payment is their responsibility — contact them.

1.6 Real Software Test bought as a subscription (€9.99 for 7 days, then the monthly plan)

9.99 EUR for 7 days, then 100.99 EUR/month from the 8th day. Cancel anytime in the app or by replying to us.

This is the exact wording shown to you on the checkout page, inside the Stripe payment screen, and in the WhatsApp and email messages we send you. When you buy, the date is filled in with your own date — the eighth day after your payment. You cannot reach the payment screen without ticking a box that repeats this sentence with your date in it, and we keep that acceptance (date, time, IP address and the exact text) as evidence.

  • What you pay today: 9.99 EUR, once. That buys 7 days of the full software, 5 emissions/DTC files in total (not per day), 3 tuning credits and 1 PC.
  • What happens on the 8th day: the monthly plan starts automatically at 100.99 EUR/month and renews every month until you cancel. Your first monthly invoice is reduced by the 9.99 EUR you already paid, so it is 91.00 EUR. That is the same €9.99 credit we have always promised — it is applied automatically, you do not have to ask for it.
  • How to stop it: cancel in one click inside the app, at davincideluxe.fr/realtest/cancel-trial, or by replying to any WhatsApp or email message we have sent you. Cancelling during the 7 days costs you nothing more and you keep the rest of your 7 days. There is no cancellation fee, no notice period, no retention questionnaire.
  • If you never use it, we cancel it for you. If, 24 hours before the monthly plan would start, you have not tuned a single file and your 3 tuning credits are untouched, we cancel the subscription ourselves and tell you by WhatsApp and email that you have not been charged. You do not have to do anything. This is our own rule, not a legal requirement, and we can change it for future purchases.
  • Reminders: we message you while the 7 days are running — including roughly 48 hours and again roughly 24 hours before the first monthly charge — always stating the amount, the date and the one-click cancel link. Every one of those messages is stored with its exact text.
  • The 9.99 EUR itself stays non-refundable, exactly as in section 1.2 above: it is a paid evaluation of the full working software, delivered immediately. It is credited toward a plan, not returned as cash.
  • Monthly payments already taken follow the normal rules of this policy: a month that has started is not refunded. Cancelling stops the next payment; it does not undo the last one.
  • If your card is refused on the 8th day we retry, warn you, and the subscription is cancelled after the second failed attempt. You are never charged twice for the same month.

This clause is published in English in every language version of this page on purpose: it is the contractual text you accept with the checkbox at checkout, which is itself in English, and we would rather have one wording that everybody can point at than fifty translations that do not say exactly the same thing. If anything here is not clear, ask us before you pay — write to [email protected] or on WhatsApp — and we will explain it in your language.

2. Products & Licenses

DaVinci Deluxe · Cloud Edition is a professional, cloud-based automotive ECU tuning and file-processing service. Purchasing grants you a personal, non-exclusive, non-transferable right to use the software and services on the terms of your plan:

Every license is bound to one physical computer (HWID). Moving a license to a different or new PC is a one-time €50 HWID-change fee; reinstalling the app on the same machine is free, but formatting the PC or reinstalling Windows / the operating system changes the HWID and counts as a €50 PC change. The software does not run over Remote Desktop (RDP) or virtual sessions. Legacy perpetual "Lifetime" desktop licenses (the discontinued €299 / €499 1.0.39.x product line) remain valid for the desktop application on the PC count they were sold with, but are a separate product from Cloud Edition (1.0.44+) and do not include Cloud Edition access.

Hardware ID (HWID) — how a change is treated. The HWID stored on your licence is an anonymous fingerprint of the computer, not a description of it. Once it changes we cannot tell from it whether you reinstalled your operating system or moved to a different computer, and an account of what happened given by the customer is not something we are able to verify. Therefore any change of the recorded HWID is treated as a PC change and the one-time €50 re-bind fee applies. A free re-bind is not a customer entitlement: it is granted only at our sole discretion, and only where our own server logs show the change was caused by a fault on our side. Declining to pay the fee, or disagreeing with it, is not a service fault and gives rise to no refund, no chargeback and no other claim.

Professional / business use (B2B). You represent and warrant that you purchase and use DaVinci Deluxe · Cloud Edition solely in the course of your trade, business or profession, and not as a consumer. This is a business-to-business agreement. Consumer-protection rules, including any statutory right of withdrawal or cooling-off period, do not apply, save where such rules are mandatory and cannot lawfully be excluded in your jurisdiction. You confirm you are at least 18 years old and have authority to enter into this agreement.

3. Price & Payment

All prices are shown in Euros (€) and include applicable taxes. Payment is due immediately at checkout. All payments are processed securely by Stripe with 3D Secure (Strong Customer Authentication) requested on every transaction; we never see or store your card details. We do not accept any other payment method.

4. Delivery

Delivery is digital and immediate. On payment confirmation your account is activated and your license, download link, tokens or files are made available in your profile and by email. Because the service is delivered instantly, you expressly request immediate performance at purchase.

5. Subscriptions & Renewals

Monthly and Annual plans renew automatically until cancelled. The renewal price and date are shown at checkout and in your profile, and a reminder is sent before each renewal. You can cancel at any time from your profile to stop future renewals; cancelling stops the next charge but does not refund the current paid period. Free promotional credits, tokens or bonuses attached to a plan are perks granted per period, reset each period, and are forfeited when the subscription lapses or is cancelled. The Real Software Test also renews automatically: €9.99 for the first 7 days, then €100.99 per month from the 8th day until you cancel. Your first monthly invoice is €91.00, because the €9.99 you already paid is deducted from it; you can cancel in one click, and if you use nothing during the 7 days we cancel the subscription for you and you are not charged.

6. Acceptable Use

You agree to use the software lawfully and as a professional operator. You may not resell, rent, share, redistribute or publish the software, your license, or the files, DAMOS or definitions we deliver; reverse-engineer, crack or circumvent license protection; create multiple accounts to bypass an HWID freeze; or abuse, threaten or blackmail our support. ECU tuning is an inherently risky activity carried out entirely under your own responsibility, on your own equipment, and it is your responsibility to ensure any modification is legal in your country and for your intended use. Breach results in suspension or a permanent ban with no refund and loss of any tokens, credits or licenses on the account.

Closing your account. You can delete your account at any time from your profile. Deletion is permanent and applies to all our services: your profile data is erased, the account cannot be restored, and your e-mail address, phone number and payment fingerprint remain on a block list, so any new account opened with the same details is closed automatically. Deleting your account does not erase the proof that a purchase took place: we keep your invoice, payment reference and the terms you accepted at checkout for 2 years (invoices for longer, as accounting law requires) to defend against payment disputes and to meet our accounting obligations, as set out in Section 6 of our Privacy Policy. Deletion also does not create any refund right. If you simply want to stop being charged, cancel your subscription instead — that keeps your account and your files.

6a. Reviews, Feedback & Non-Disparagement

We welcome honest feedback, including criticism — leaving a genuine review never affects your account, licence or support, and nothing here restricts your right to publish a truthful opinion or report a real problem. This clause targets provable bad faith only. You agree not to: (a) publish or threaten a review, rating or public statement in order to obtain a refund, credit, discount or any advantage you are not owed; (b) post reviews about a purchase, product or incident that never took place, or duplicate or multi-identity reviews for a single purchase; or (c) make knowingly false statements of fact about DaVinci Deluxe · Cloud Edition or TechLT — including falsely stating that we are not the original developer, that we committed fraud, or that our software (rather than the inherent, disclosed risk of ECU flashing or your own hardware) damaged a vehicle where you never sent us the files to investigate. Conduct under (a)–(c) is a breach of these Terms resulting in permanent termination with no refund and loss of any tokens, credits or licences, and we may submit our purchase, delivery, activation, usage and authentication records to the relevant review platform and payment provider and pursue any lawful remedy for false statements of fact.

7. Liability

The software and services are provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties and conditions, whether express, implied or statutory, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title and non-infringement; we do not warrant that the software is error-free, that every specific ECU or software version is covered, or that it is compatible with all hardware. ECU tuning is an inherently risky activity carried out entirely under your own responsibility, on your own equipment; the ECU Brick Risk statement at /ecu-brick-risk.html is incorporated into and forms part of these Terms. To the fullest extent permitted by law, we are not liable — whether in contract, tort (including negligence), statute or otherwise — for any damage to an ECU, vehicle, engine or component, nor for any replacement ECU, parts, labour, towing, diagnostic time, vehicle downtime, loss of profit, business or data, nor for any indirect or consequential loss, arising from a damaged or non-starting ECU, a failed flash, an interrupted write, a non-virgin file, your flashing hardware, or misuse. The user is solely responsible for the use of the software and the modifications made to ECU files. Where a file we delivered genuinely fails, your remedy is a free re-fix via "Report a Problem", never a cash refund. To the extent any liability is not lawfully excluded, our total aggregate liability for all claims connected with the software, the services or these Terms shall not exceed the greater of (i) the amount you actually paid us for the specific product or subscription period giving rise to the claim and (ii) €500, and shall not in any event exceed the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence, or for fraud. If any part of this section is held unenforceable, the remainder continues in full force.

7a. Indemnity

You will defend, indemnify and hold harmless DaVinci Deluxe · Cloud Edition, TechLT, its operators, staff and suppliers from and against any third-party claim, demand, proceeding, fine, loss or cost (including reasonable legal fees) arising from or connected with: (a) any vehicle, ECU or file you work on, including any claim by the owner of a vehicle you tuned; (b) your use of the software or services; (c) your flashing hardware or an interrupted write; (d) your use of non-virgin or third-party files; or (e) your breach of these Terms or of any law (including emissions, type-approval or road-traffic law) or third-party right. You warrant that you hold the vehicle owner's authorisation for every job you perform.

8. Intellectual Property

All intellectual property rights in the software, algorithms, maps, website, branding and our distinct colored logo belong to DaVinci Deluxe · Cloud Edition / TechLT. Any unauthorized reproduction, distribution or use constitutes infringement.

9. Refunds

All sales are final. Our full, binding Refund Policy forms part of these Terms and governs every purchase — please read it before you buy. In short: no money is ever refunded; any goodwill is granted only as tokens or credits on your account.

10. Changes

Updating to version 1.0.44 (Cloud Edition) is entirely optional — you may press Skip and keep using your current version. Licenses sold from 1.0.44 onwards cover 1 PC; if you bought an earlier license with more PCs, you keep the PC count you purchased on the version you already use. We reserve the right to change pricing, plans, limits, included services and these Terms at any time; new terms apply to new purchases and renewals from their effective date, while the terms of an active subscription and existing lifetime licenses are honored as sold.

The version of these Terms published on this page is the version in force and applies from the moment it is published; we do not send individual notice of changes. You are responsible for reviewing these Terms, the Refund Policy and the Privacy Policy periodically. Continued use of the service after an update constitutes acceptance of the then-current Terms, and not having read an updated version is not a valid ground for a refund, a chargeback or any other claim against us.

11. Governing Law

As a business-to-business agreement (section 2), these Terms are governed by French law and any dispute is subject to the exclusive jurisdiction of the competent French courts — without prejudice to any mandatory consumer-protection right that nonetheless applies to you and cannot lawfully be excluded in your country of residence, which is preserved.

12. Chargebacks & Disputes

Because our digital products are delivered instantly and payments are authenticated by 3D Secure, we contest chargebacks on delivered, authenticated purchases with our complete documentary evidence. Initiating a chargeback or payment reversal on a delivered, activated or used product, in circumstances not permitted by our Refund Policy, is a breach of these Terms, and the associated processor fee and administrative costs are recoverable from you as set out in that Policy. Nothing here limits any non-waivable statutory right you may have.

13. Sole Remedy & Contact-First

Where a file we delivered genuinely fails, your sole and exclusive remedy — to the exclusion of any refund or other remedy in contract, tort or statute, to the fullest extent permitted by law — is a free re-fix via "Report a Problem", provided you re-flash your original backup and supply the original read, the tuned file and the vehicle/ECU details. Before initiating any chargeback, payment dispute, public review used for leverage, or legal action, you must first contact [email protected] and allow us 14 days to investigate and provide that free re-fix.

14. General

Entire agreement. These Terms, the Refund and Privacy Policies and the checkout disclosures are the entire agreement between us and supersede all prior statements, chats, AI-assistant or WhatsApp answers, emails, reseller or support messages; you confirm you have not relied on any representation not set out in these documents, and no statement outside them varies them or creates any right, including any refund right. No variation binds us unless made in writing by us. Severability. If any provision is held invalid or unenforceable, it is severed to the minimum extent necessary and the remainder stays in full force. Survival. Acceptable Use, Reviews & Non-Disparagement, Liability, Indemnity, Intellectual Property, Refunds, Chargebacks & Disputes, Sole Remedy and Governing Law survive any termination, ban or expiry. No waiver. Our failure or delay in enforcing any provision, or any goodwill gesture in one case, is not a waiver of that or any other provision. Assignment. You may not assign or transfer your account or licence; we may assign these Terms to a successor or affiliate on a sale or reorganisation of the business. Language. These Terms and our policies are drafted in English; any translation is provided for convenience only and, in case of conflict, the English version prevails.

By purchasing, subscribing or activating DaVinci Deluxe · Cloud Edition you confirm you have read, understood and accepted these Terms, the Refund Policy, the Privacy Policy and the Cookie Policy.

Real Software Test (€9.99)

The Real Software Test is no longer a one-time purchase: it is the paid start of a subscription to the full DaVinci Deluxe · Cloud Edition software. You pay €9.99 for the first 7 days and, on the 8th day, the monthly plan starts automatically at €100.99 per month and renews every month until you cancel. The €9.99 is deducted from your first monthly invoice, so the first month is €91.00 and every month after that is €100.99. You can cancel in one click inside the app, at davincideluxe.fr/realtest/cancel-trial, or by replying to us on WhatsApp or by email; and if you use nothing at all during the 7 days, we cancel the subscription for you and you are not charged. The first 7 days include:

The test stays active for the full 7 days. Using up your 5 files or 3 credits does not shorten or extend the test; unused files/credits do not roll over and are not refunded. When the 5 files and 3 credits are used, or the 7 days end (whichever comes first for that resource), that part of the test is finished and you must buy a plan to keep working.

Non-refundable: the €9.99 is strictly non-refundable (see our Refund Policy). If you buy any plan afterwards, the €9.99 is credited toward that plan, once (no time limit). One Real Software Test per payment card.

Your test activates on the exact account/email used at checkout — log into the app with that same email. Chargebacks or fraud lead to account termination and blacklisting.
